1. Acceptance of Terms

By accessing or using the AI Tokens website (the "Site") or any services provided by AI Tokens, a DBA of AI Brands International LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms apply to all visitors, users, and others who access or use the Site. Your continued use of the Site following the posting of any changes constitutes your acceptance of such changes.

2. Eligibility & Accredited Investor Requirements

Our investment opportunities are available exclusively to "accredited investors" as defined under Rule 501 of Regulation D of the Securities Act of 1933. An accredited investor generally includes individuals who:

  • Have a net worth exceeding $1,000,000, excluding the value of their primary residence;
  • Have had annual income exceeding $200,000 (or $300,000 jointly with a spouse or spousal equivalent) for each of the two most recent years and reasonably expect the same for the current year; or
  • Hold certain professional certifications or credentials (e.g., Series 7, 65, or 82 licenses).

By using our investment services, you represent and warrant that you meet the accredited investor criteria. We reserve the right to verify your status and decline participation if eligibility cannot be confirmed.

4. SMS / Text Messaging Terms (A2P Compliance)

  • By opting in to our SMS program, you consent to receive recurring automated and non-automated text messages from AI Tokens, including investment opportunity notifications, account updates, distribution notifications, promotional information about our investment programs, appointment reminders, and consultation follow-ups.
  • You can cancel the SMS service at any time. Just text "STOP" to +1 (707) 988-5399. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
  • If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at bill@greatestsale.com.
  • Carriers are not liable for delayed or undelivered messages.
  • As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your activity and our marketing campaigns. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Age Restriction: Our SMS messaging program is intended for individuals who are 18 years of age or older. By opting in, you confirm that you are at least 18 years old.

Opt-In Methods: We collect SMS opt-in consent exclusively through our website. Opt-in is obtained when users voluntarily submit the inquiry form and check the SMS consent checkboxes. No opt-in is collected via paper forms, behind-login portals, or any other offline methods.

No Sharing of Opt-In Data: Opt-in data and consent information are not shared with any third parties. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Consent Not Required: Your consent to receive SMS messages is not a condition of purchasing any goods or services.

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. You may not:

  • Transmit any unsolicited or unauthorized advertising or promotional material;
  • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site;
  • Use any automated means, including bots, spiders, or scrapers, to access or collect information from the Site;
  • Reproduce, duplicate, copy, sell, or exploit any portion of the Site without express written permission.

6. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, audio clips, and software, is the property of AI Brands International LLC or its content suppliers and is protected by applicable intellectual property laws. Unauthorized use of any materials may violate copyright, trademark, and other laws.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AI BRANDS INTERNATIONAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SITE; (B) ANY INVESTMENT DECISIONS MADE BASED ON INFORMATION FROM THE SITE; OR (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS.

9. Indemnification

You agree to indemnify, defend, and hold harmless AI Brands International LLC, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in California, and you hereby consent to personal jurisdiction in such courts.
